1. General rules

 

1. Limited Liability Partnership “Yessenov College” is an enterprise with the status of a legal entity, established to train qualified workers and middle-level specialists in the main areas of socially useful professional services and to implement technical and vocational educational programs that are the basis of secondary education.
2. Type of organization: Limited Liability Partnership.
3. The founder and manager of the enterprise is the KEAK “II. Yessenov Caspian University of Technologies and Engineering”.

2. Legal status of the enterprise

 

 

1. An enterprise shall be deemed to have been established from the moment of its state registration and shall have the rights of a legal entity.
2. An enterprise shall have its own balance sheet, bank accounts, a seal, stamps and letterheads with the full name of the organization in the state and Russian languages, as well as an emblem (symbol) registered in accordance with the established procedure, in accordance with the legislation of the Republic of Kazakhstan.
3. An enterprise shall not establish another legal entity, nor shall it be a founder (participant) of it.
4. An enterprise shall be liable for its obligations with the property in its possession.
5. The founder shall have the right to give instructions that are binding for execution and shall be jointly and severally liable with the enterprise for transactions concluded with it to execute such instructions.

6. In the event of bankruptcy of the enterprise due to the fault of the founder, the founder shall be jointly and severally liable for its debts.
7. The Enterprise may not acquire the Founder’s shares, except for financial organizations that have the right to own the Founder’s shares in an amount not exceeding ten percent of the voting shares of such organization.
8. Civil law transactions of the Enterprise shall enter into force after mandatory registration with the Department of Justice.
9. Civil law transactions concluded by the Enterprise and subject to mandatory state or other registration in accordance with the legislative acts of the Republic of Kazakhstan shall be deemed to have been concluded from the moment of registration, unless otherwise established by the legislative acts of the Republic of Kazakhstan.

3. The essence and goals of the enterprise's activities

 

 

1. The essence of the enterprise’s activity is the implementation of general secondary, technical and vocational, as well as basic post-secondary educational programs, as well as vocational training and retraining. The educational activity of the college is carried out in accordance with the Law of the Republic of Kazakhstan “On Education”, regulatory legal acts of the Ministry of Education and Science of the Republic of Kazakhstan, state mandatory standards of technical and vocational education, curricula, educational process schedules and lesson schedules approved by the director.

2. The purpose of the enterprise’s activity is to provide high-quality education in accordance with the college’s potential in accordance with the licenses and applications for specialties and qualifications, and to train highly qualified specialists with technical and vocational education who are in demand in the labor market by updating educational services.

3. To achieve the set goal, the enterprise carries out the following tasks:

– formation and development of a person based on national and universal values;

– provision of students with professional orientation;

– ensuring the interaction of theoretical and industrial training;

– introduction of modern educational technologies;
– combination of educational programs with industrial practice;
– increasing the accessibility and attractiveness of technical and vocational education;
– strengthening the competitiveness of personnel;
– development of social partnership;
– organization of industrial training and professional practice in training workshops and on the basis of enterprises.

Students who have mastered educational programs and passed the final certification are awarded the qualification of “middle-level specialist” and (or) appropriate qualification.

4. In order to implement its goals, the enterprise carries out the following types of activities:
– implements general secondary, technical and vocational, post-secondary educational programs in demand in the labor market, in accordance with a state license, including short-term vocational training;
– provides pre-medical medical care to students and employees;
– provides students with a hostel on a paid basis.

5. The enterprise is prohibited from carrying out activities that do not correspond to the essence and goals of its activities, as well as from concluding transactions

6. A transaction made contrary to the objectives of the enterprise, a transaction made in violation of the statutory powers of the head, limited by the laws of the Republic of Kazakhstan or constituent documents, may be recognized as invalid at the request of the authorized body of the relevant branch or the authorized body for state property or the prosecutor.

7. The procedures for the activities of the enterprise and the rules for the classes of students are regulated by the Model Rules for the Activities of General Secondary and Technical and Vocational, Mainly Post-Secondary Educational Organizations.
8. Admission of students to the enterprise is carried out in accordance with the Model Rules for Admission to Educational Institutions Implementing Technical and Vocational, Post-Secondary Educational Programs and the Rules for Admission to Colleges approved by the Ministry of Education and Science of the Republic of Kazakhstan for the relevant academic year.

9. The relationship between the enterprise and students is regulated by this Charter, the internal rules of the enterprise and the current legislation of the Republic of Kazakhstan.

4. International cooperation

 

 

The enterprise, in accordance with the specifics of its work, has the right, with the consent of the Founder, to establish contacts with foreign educational, scientific and cultural organizations, international organizations and foundations, to conclude bilateral and multilateral agreements on cooperation, to participate in the exchange of students in international programs, and to join international non-governmental organizations (associations) in the field of education.

5. Enterprise management bodies

 

 

1. The management of the enterprise is ensured by the following bodies:
1) The supreme body – its founder;
2) The executive body – the directorate;
3) The supervisory body – the audit commission.
If necessary, the founder reserves the right to involve independent auditors to audit the financial and economic activities of the executive body and issue an opinion on its annual financial statements;
4) The collegial body – the Pedagogical Council
2. The management of the enterprise is carried out in accordance with the Legislation of the Republic of Kazakhstan and the Model Regulations on Educational Organizations and the Charter.

6. Founder

 

1. Approves the individual financing plan of the enterprise;
2. Monitors the safety of the enterprise’s property;
3. Makes proposals on the establishment, reorganization and liquidation of the enterprise in accordance with the established procedure, the establishment of its branches and representative offices, approval of the Charter of the Enterprise, amendments and additions to it;
4. Develops acts on issues of enterprise management, ensures their implementation;
5. Determines the rights, obligations and responsibilities of the head of the enterprise, the grounds for his dismissal from office.
6. Approves the annual financial statements;
7. Gives consent to the conclusion of transactions exceeding 100 monthly calculation indices.
8. Performs other functions in accordance with the procedure established by the legislation of the Republic of Kazakhstan.

7. Director

 

1. The management of the enterprise and its current activities is carried out by a single executive body – the director. The director is appointed by the decision of the founder, reports to him and serves on the basis of a contract concluded with him.
2. The director organizes the work of the enterprise, manages its activities, is directly subordinate to the Supreme Body and is independently responsible for the fulfillment of the tasks assigned to the enterprise.
3. The director acts on the basis of the principle of individual management, independently resolves issues related to the enterprise’s activities in accordance with the legislation of the Republic of Kazakhstan and this Charter, and ensures anti-corruption measures.
4. The rights and powers of the director:
– act on behalf of the enterprise without a power of attorney and represent its interests in state bodies and organizations;
– conclude contracts and issue power of attorney;
– open accounts in banks and manage them;
– issue mandatory orders and instructions for employees of the enterprise;
– hire and dismiss employees, motivate them and apply disciplinary sanctions with the consent of the founder;
– develop plans for business trips and professional development of employees;
– determine the duties and powers of deputies and senior staff;
– develop and submit to the Founder for approval the development and strategic plans of the enterprise;
– perform other functions in accordance with the legislation of the Republic of Kazakhstan, this Charter and decisions of the Supreme Body.
5. Collegiate management bodies (methodological council and other forms) may be established at the enterprise. The procedure for the establishment and functioning of collegiate bodies is determined in accordance with the standard regulations in the field of education.
8. Authorized capital of the enterprise

 

 

The authorized capital of an enterprise is formed from property received from the owner for management in order to carry out its statutory activities.

9. Procedure for the formation of enterprise property

 

 

 

1. The property of an enterprise is its assets, the value of which is determined in its balance sheet, and consists of the following property:
1) Property donated by the founder;
2) Property acquired in the course of its activities (including cash income);
3) Created at the expense of other financial sources not prohibited by the legislation of the Republic of Kazakhstan.
2. An enterprise does not have the right to independently alienate or otherwise dispose of the property assigned to it and the property allocated to it by means of budget instruments.
3. If the legislation of the Republic of Kazakhstan grants the enterprise the right to carry out income-generating activities, then the money received from the sale of manufactured goods (works, services) remains in the possession of the enterprise in accordance with the legislation of the Republic of Kazakhstan.
4. The activities of the enterprise are financed from the budget and extrabudgetary sources, unless the legislation of the Republic of Kazakhstan establishes additional financing.
5. The enterprise keeps accounting records and submits reports in accordance with the legislation of the Republic of Kazakhstan.
6. Inspection and audit of the financial and economic activities of the enterprise shall be carried out by the Supreme Body and other state bodies in accordance with the procedure established by the legislation of the Republic of Kazakhstan.

10. Labor collective

 

The labor collective of an enterprise consists of all citizens who participate in its activities with their own labor on the basis of labor contracts, as well as other documents regulating labor relations between employees and the enterprise.

11. Enterprise operating procedures

 

 

The working order of the enterprise is determined by the rules of internal labor regulations and must not contradict the norms of the labor legislation of the Republic of Kazakhstan.

12. Procedure for making amendments and additions to the constituent documents

 

 

 

 

1. Amendments and additions to the constituent documents of an enterprise
are made by decision of the founder.
2. Amendments and additions to the constituent documents of an enterprise are registered in accordance with the legislation of the Republic of Kazakhstan.

13. Terms of reorganization and liquidation of the enterprise

 

 

 

 

Reorganization and liquidation of the enterprise shall be carried out in accordance with the legislation of the Republic of Kazakhstan.
